The Role of NADP Board Member (director and company secretary)
In accordance with the Memorandum and Articles of Association (login required), one third of Directors are required to stand down each year at the Annual General Meeting and nominations are invited for the vacant positions. All retiring Directors are eligible to re-stand for office.
Nominees must be Full Members of NADP or where they are part of Institutional Membership must fulfil the criteria as Full Member. Nominees should be proposed and seconded by an NADP member.
The make-up of the Board is regularly reviewed by board members in order to ensure that it is representative of the membership of NADP. Following a gap analysis of skill, knowledge or experience the Board can encourage members from specific backgrounds to seek election.
In addition the Board can co-op additional members to advise and assist on specific projects that the Board are working on or to bring specific knowledge/experience. Co-optees remain on the Board until the next AGM, and can then apply for election to the Board or may be co-opted for a further one year period.
Board Nominations 2009
Nominations are invited for the vacant positions.
Nominees must be Full Members of NADP or where they are part of Institutional Membership must fulfil the criteria as Full Member.
Nominees should be proposed and seconded by an NADP member (proposer and seconder may be Full or Associate Members).
Deadline for nominations: Friday 5th June 2009.
In the event of more nominations than vacancies a postal ballot of members will be held. Following the ballot, or in the event that no ballot is required, appointment of Directors will be announced to Members at the Annual General Meeting to be held on Thursday 2nd July 2009, following which Directors will take up office. Directors will usually be elected for a period of 3 years.
In the event that vacancies are not filled, the retiring Directors will be eligible to remain on the Board, or the Board of Directors may co-opt Directors for a period of 1 year.
